Welcome to aspiresource.com! Aspire Source, Inc. (hereinafter called ASI)
provides you with sales, product, support and technical information as well as
online purchase services (hereinafter called Service). Your use of the
Service shall constitute your acceptance of this agreement. Please read the
terms contained in this agreement carefully. If you do not agree with the terms
contained herein, please do not use the Service.
We may revise the Terms of Service from time to time. Notice of revisions to
this agreement shall be announced on this page. Continued use of the Service by
you shall constitute your acceptance of any changes or revisions to the
agreement. Your failure to follow terms in this agreement may result in
termination of your access to the Service, without any notice.
USE OF THE SERVICE
You shall use the Service only for lawful purposes and your failure to do so
may subject you to civil and criminal liability. You are responsible for all of
your use of the Service and may not authorize others to use the Service. You
shall not use any obscene, indecent or offensive language, or to place on the
Service any material that is false, defamatory, abusive, harassing or hateful.
Additionally, you shall not place on aspiresource.com any material that is
encrypted, constitutes junk mail or unauthorized advertising, invades anyone's
privacy, encourages conduct that would constitute a criminal offense or give
rise to civil liability, or that otherwise violates any local, state, national
or international law or regulations. Except connecting to ASI's servers
by Hypertext Transfer Protocol (HTTP) requests using a web browser, you shall
not attempt to access ASI's servers by any other means, including but not
limited to File Transfer Protocol (FTP) and Telnet.
CONTENT
ASI shall not endorse, support, sanction, encourage, verify or agree with
any content and information posted by users in the Service. Any information or
material placed on aspiresource.com by users is the view and responsibility of
those users and shall not be the view of ASI. ASI shall not be
responsible, and shall have no liability with respect to any information or
materials posted by you and others, including defamatory, offensive or illicit
material.
All information and material you supply or communicate to the Service is
governed by the ASI's
Privacy Policy,
which is accessible at any time from the bottom of
home page on aspiresource.com.
INTELLECTUAL PROPERTY
You are responsible for ensuring that any material you provide to the Service,
including but not limited to text, photographs and sound, does not infringe the
copyright, trademark, trade secret or any other personal or proprietary rights
of any third party - or is posted with the written permission of the owner(s)
of such rights. Material on aspiresource.com is for your own use only.
aspiresource.com contains copyrighted and other proprietary information. You shall
not in any way make commercial or other unauthorized use, by publication,
re-transmission, distribution, performance, caching or otherwise, of material
obtained through aspiresource.com, except as permitted by ASI or by the
Copyright Act or other law. You shall not disrupt, modify or interfere with
aspiresource.com or its associated software, hardware and servers in any way, and
you shall not impede or interfere with others' use of the Service. Further, you
shall not alter or tamper with any information or materials on, or associated
with, the Service. You acknowledge that ASI has not reviewed and does not
endorse the content of all sites linked to from aspiresource.com and is not
responsible for the content or actions of any other sites linked to from
aspiresource.com. Linking to any other service or site from aspiresource.com is at
your sole risk.
ASI respects the intellectual property of others, and we ask our users to
do the same. ASI shall, in appropriate circumstances and at its
discretion, terminate the access of users who infringe the copyright rights of
others.
INDEMNIFICATION
You shall indemnify ASI and its affiliates, employees, agents and
representatives, and agree to hold them harmless from any and all claims and
liabilities (including attorneys' fees) that may arise from your submissions,
from your unauthorized use of material obtained through the Service, from your
breach of this agreement, or from any such acts arising through your use of the
Service.
ADDITIONAL RULES
ASI reserves the right to post, from time to time, additional rules of
usage that apply to specific parts of the Service. Such additional rules shall
be posted in the relevant parts of the Service, and will be clearly identified.
Your continued use of the Service shall constitute your agreement to comply
with these additional rules.
DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
You acknowledge that you are using the Service at your own risk. The Service
shall be provided "as is," and ASI hereby expressly disclaims any
warranties, express and implied, including but limited to any warranties
accuracy, reliability, title, merchantability, non-infringement, fitness for a
particular purpose or any other warranty, condition, guarantee or
representation, whether oral, in writing or in electronic form, including but
no limited to the accuracy or completeness of any information contain therein
or provided by the Service.
ASI shall not warrant that access to aspiresource.com will be uninterrupted
or that there shall be no failures, errors or omissions or loss of transmitted
information, or that no viruses shall be transmitted on aspiresource.com.
ASI shall not be liable to you or any third parties for any direct,
indirect, special, consequential or punitive damages allegedly sustained
arising out of your access to or inability to access aspiresource.com, including
for viruses alleged to have been obtained from aspiresource.com, your use of or
reliance on aspiresource.com or any of the information or materials available on
aspiresource.com, regardless of the type of claim or the nature of the cause of
action, even if advised of the possibility of such damages.
COMMUNICATIONS WITH THE THIRD PARTIES
Your communications and business transactions through aspiresource.com with any
party other than ASI are solely between you and that third party. Under
no circumstances will ASI be liable for any transactions of goods and/or
services through such third party dealings. Please review carefully the
policies and practices of any third parties and make sure you are comfortable
with those policies and practices before you engage in any transaction. Any
complaints, concerns or questions you may have relating to the third party’s
dealings should be forwarded directly to the third party.
TERMINATION
ASI reserves the right to terminate your ability to access the Service,
for any reason, without notice. Termination of this agreement shall not release
you from the obligation to make payment of all amounts then or thereafter due
and payable.
JURISDICTION
This agreement shall be governed and construed in accordance with the laws of
Minnesota applicable to contracts to be wholly performed therein, and any
action based on or alleging a breach of this agreement must be brought in a
state or federal court. In addition, you agree to submit to the personal
jurisdiction and venue of such courts.
ENTIRE AGREEMENT
This agreement represents the entire Terms of Service with respect to the
subject matter hereof and supersedes all previous terms, whether oral or
written or oral, related hereto.
